1. Acceptance of Terms

By accessing or using StockDropGH ("Platform", "we", "us"), you agree to be bound by these Terms & Conditions. If you do not agree, you must not use the platform. These terms apply to all visitors, registered users, vendors, and buyers.

We may update these terms at any time. Continued use of the platform after changes are posted constitutes your acceptance of the revised terms.

2. About the Platform

StockDropGH is a multivendor wholesale and retail marketplace operating in Ghana. We provide an online space where independent vendors can list products and buyers can purchase them. StockDropGH acts as an intermediary platform — we are not a party to any transaction between vendors and buyers, except to the extent of processing the platform commission.

We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time with reasonable notice.

3. Eligibility

To register on StockDropGH, you must:

• Be at least 18 years of age
• Be a legal resident or registered business entity in Ghana
• Provide accurate and truthful registration information
• Not have been previously banned from the platform

By registering, you confirm that all information you provide is accurate and that you accept full responsibility for your account activity.

4. Vendor Terms

4.1 Registration

Vendor registration on StockDropGH is completely free. There are no subscription fees, application fees, or upfront charges to create a vendor account.

4.2 Product Listing

Listing products on the platform is free. Vendors may list an unlimited number of products at no cost. Listings must be accurate, complete, and comply with our Product Listing Policy (Section 8).

4.3 Vendor Responsibilities

As a vendor, you agree to:

• Provide accurate product descriptions, pricing, and stock information
• Fulfil orders within the timeframe communicated to buyers
• Maintain professional conduct in all buyer communications
• Comply with all applicable Ghanaian laws, including consumer protection and tax obligations
• Not list counterfeit, prohibited, or illegal goods
• Update your listings promptly if items become unavailable

4.4 Wholesale & Retail Pricing

Vendors may set both wholesale and retail pricing tiers on eligible listings. Vendors are solely responsible for the accuracy of their pricing.

5. Buyer Terms

As a buyer on StockDropGH, you agree to:

• Provide accurate delivery and contact information when placing orders
• Pay promptly and in full for orders placed
• Communicate respectfully with vendors
• Use the platform's dispute resolution process if issues arise, rather than initiating chargebacks without cause
• Not misuse buyer protections by making false claims

Buyers acknowledge that they are purchasing from independent vendors and that StockDropGH is not the seller of record. Contracts for the sale of goods are formed directly between buyer and vendor.

6. Commission & Fees

6.1 How Commission Works

When a buyer completes a purchase, StockDropGH automatically deducts 8% of the transaction value before releasing payment to the vendor. The vendor receives 92% of the sale price.

For example: If a product is sold for GH₵ 500.00, StockDropGH retains GH₵ 40.00 (8%) and the vendor receives GH₵ 460.00 (92%).

6.2 No Other Fees

There are no monthly fees, listing fees, registration fees, or any other charges beyond the 8% commission on completed sales. If this changes, we will notify all registered users at least 30 days in advance.

6.3 Refunds and Commission

If a sale is refunded in full, the 8% commission will be returned to the vendor. Partial refunds will result in a proportional commission adjustment.

7. Payments

All payments on StockDropGH are processed through our licensed payment service providers. Vendor payouts are released after the buyer confirms receipt of goods, or after a specified dispute window closes, whichever comes first.

StockDropGH does not guarantee the availability of any particular payment method at any time. We are not responsible for errors or delays caused by third-party payment processors.

8. Product Listings Policy

Vendors must ensure that all product listings:

• Are accurate, clear, and not misleading
• Include genuine photos of the actual product
• State applicable pricing (wholesale and/or retail) clearly
• Specify availability, minimum order quantities (if applicable), and estimated delivery information
• Do not infringe third-party intellectual property rights

The following items are strictly prohibited from listing:

• Counterfeit, pirated, or unlicensed goods
• Illegal substances, weapons, or hazardous materials
• Human tissue, live animals, or wildlife products
• Stolen goods or goods of unknown provenance
• Any item whose sale is prohibited under Ghanaian law

StockDropGH reserves the right to remove any listing that violates this policy, without notice and without liability.

9. Prohibited Conduct

The following conduct is prohibited on StockDropGH for all users:

• Creating fake accounts or impersonating another person or business
• Manipulating reviews, ratings, or transaction records
• Conducting transactions outside the platform to evade commission
• Sending spam, unsolicited messages, or phishing communications
• Uploading malware or attempting to compromise platform security
• Engaging in price fixing, collusion, or anti-competitive behaviour
• Harassing, threatening, or abusing other users

Violations may result in immediate account suspension or permanent ban at StockDropGH's discretion.

10. Disputes Between Buyers and Vendors

StockDropGH provides a dispute resolution mechanism for buyers and vendors. In the event of a dispute:

1. Both parties should first attempt to resolve the issue directly through the platform's messaging system.
2. If unresolved within 72 hours, either party may escalate to StockDropGH support.
3. StockDropGH will review evidence submitted by both parties and issue a non-binding recommendation within 7 business days.
4. For payment disputes, StockDropGH may place a hold on funds pending resolution.

StockDropGH's decision in a dispute is final for the purposes of payment release on the platform, but does not affect either party's legal rights.

11. Limitation of Liability

StockDropGH provides the platform on an "as is" basis. To the maximum extent permitted by law, we are not liable for:

• Loss or damage arising from transactions between buyers and vendors
• The quality, safety, or legality of products listed by vendors
• Delays, interruptions, or errors in platform service
• Loss of profit, data, or business opportunity arising from use of the platform

Our total liability to any user in connection with the platform shall not exceed the amount of commission paid to us by that user in the three months preceding the claim.

12. Termination

You may close your account at any time by contacting us. We may suspend or terminate accounts that violate these terms, engage in fraudulent activity, or harm other users — with or without notice depending on the severity of the violation.

Upon termination, outstanding commission obligations remain payable and data retention is subject to our Privacy Policy.

13. Governing Law

These Terms & Conditions are governed by the laws of the Republic of Ghana. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
