StockDropGH Vendor Agreement

1. Parties to This Agreement

This Agreement is entered into between:

• StockDropGH — the platform operator, hereinafter referred to as "StockDropGH", "we", "us", or "our".
• The Vendor — the individual or business entity registering a vendor account, hereinafter referred to as "you", "your", or "Vendor".

This Agreement takes effect from the moment you submit your vendor registration and is binding on both parties from that date.

2. Definitions

• "Platform" means the StockDropGH website and all associated services available at www.stockdropgh.com.
• "Vendor" means any individual or business registered to sell products through the Platform.
• "Buyer" means any user who purchases products from a Vendor through the Platform.
• "Listing" means any product or service posted by a Vendor for sale on the Platform.
• "Transaction" means a completed sale between a Vendor and a Buyer facilitated by the Platform.
• "Commission" means the 8% fee retained by StockDropGH on each completed Transaction.
• "Payout" means the 92% of the Transaction value released to the Vendor after Commission deduction.
• "Vendor Dashboard" means the admin panel available to registered Vendors for managing their store, listings, and orders.
• "Wholesale" means bulk purchases typically made by traders, retailers, or businesses.
• "Retail" means individual purchases made by end consumers.

3. Vendor Account

3.1 Registration

To become a Vendor on StockDropGH, you must complete the vendor registration form and provide accurate, truthful, and complete information including your full name, business name, contact details, and product category. Registration is free of charge.

3.2 Eligibility

To register as a Vendor, you must:

• Be at least 18 years of age
• Be a legal resident of Ghana or a business entity registered or operating in Ghana
• Have the legal authority to sell the products you intend to list
• Not have been previously banned or suspended from the Platform

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. Any activity conducted through your vendor account is your responsibility. Notify us immediately at [email protected] if you suspect unauthorised access to your account.

3.4 One Account Per Vendor

Each vendor is permitted one account. Creating duplicate accounts without written permission from StockDropGH is grounds for suspension of all associated accounts.

4. Store Setup

Upon successful registration, you will have access to your Vendor Dashboard to set up your storefront. You agree to:

• Provide an accurate store name and description
• Upload a genuine store logo and/or banner image that represents your business
• Keep your store information (contact details, location, operating hours) up to date
• Not use store branding that infringes another business's trademarks or intellectual property

Your storefront will be publicly visible to all users of the Platform once set up. StockDropGH reserves the right to request changes to store content that violates platform standards.

5. Product Listings

5.1 Listing is Free

There is no fee to list products on StockDropGH. You may create an unlimited number of product listings at no cost.

5.2 Listing Requirements

All product listings must:

• Accurately describe the product — including name, condition, materials, dimensions (where relevant), and any applicable variations
• Include genuine photographs of the actual product being sold
• Display accurate pricing for all applicable tiers (wholesale and/or retail)
• Specify minimum order quantity where applicable
• State realistic estimated delivery or availability timelines
• Reflect actual available stock — listings must be updated or removed when stock is exhausted

5.3 Wholesale and Retail Tiers

Vendors may set separate pricing tiers for wholesale buyers (bulk) and retail buyers (individual). You are solely responsible for the accuracy of your pricing and for honouring any price displayed to buyers at the time of purchase.

5.4 Listing Moderation

StockDropGH reserves the right to remove, edit, or delist any product listing that violates this Agreement or platform standards, without prior notice. Repeated violations may result in account suspension.

6.3 No Other Fees

StockDropGH does not charge registration fees, listing fees, monthly subscriptions, or any other recurring charges. The 8% commission on completed sales is our only revenue from Vendors.

6.4 Fee Changes

If StockDropGH changes its commission rate or introduces new fees, we will notify all registered Vendors by email at least 30 days in advance. Continued use of the Platform after the effective date constitutes acceptance of the new fee structure.

7. Payments & Payouts

7.1 Payment Processing

All buyer payments are collected by StockDropGH through licensed payment service providers. As a Vendor, you do not handle buyer payments directly through the platform checkout.

7.2 Payout Schedule

Your payout (92% of the sale value) is released after the buyer confirms receipt of goods, or after the platform's standard dispute window closes — whichever occurs first. Payout timelines will be communicated clearly in your Vendor Dashboard.

7.3 Payout Method

You must provide valid and accurate bank account or mobile money details in your Vendor Dashboard to receive payouts. StockDropGH is not liable for delays or losses arising from incorrect payment details provided by the Vendor.

7.4 Withholding Payments

StockDropGH reserves the right to temporarily withhold payouts in the event of an active dispute, suspected fraud, or a violation of this Agreement pending investigation.

8. Orders & Fulfilment

8.1 Order Acceptance

When a buyer places an order, you will be notified through your Vendor Dashboard and by email. You are expected to confirm or decline the order within 24 hours. Failure to respond may result in automatic order cancellation and may affect your vendor standing.

8.2 Fulfilment Obligations

Upon accepting an order, you agree to:

• Prepare and dispatch goods within the timeframe specified on your listing
• Provide accurate tracking or delivery information to the buyer
• Ensure goods are securely packaged to prevent damage in transit
• Communicate proactively with the buyer if there is any delay

8.3 Non-Fulfilment

Repeated failure to fulfil confirmed orders — without valid justification — will result in penalties including reduced visibility in search results, suspension of your ability to accept new orders, or account termination.

9. Returns & Refunds

9.1 Vendor Return Policy

You must clearly state your return and exchange policy on your store page and in your product listings. Buyers are entitled to a full refund if:

• The item received is significantly different from what was described or shown in listing photos
• The item arrives damaged or defective due to inadequate packaging
• The order was not delivered within the agreed timeframe without communication

9.2 Refund Processing

Where a full refund is approved, the 8% commission will be returned to your account. For partial refunds, commission will be adjusted proportionally. StockDropGH's determination on refund disputes is final for the purposes of platform payment release.

9.3 Chargeback Liability

If a chargeback is raised by a buyer's payment provider and upheld against a transaction, the Vendor may be liable for the value of that chargeback plus any applicable processing fees.

10. Vendor Conduct

As a Vendor, you agree to conduct yourself professionally at all times on the Platform. You must:

• Respond to buyer enquiries and messages within a reasonable time (ideally within 24 hours)
• Treat all buyers with respect and professionalism
• Not engage in misleading, deceptive, or manipulative sales practices
• Not artificially inflate product ratings or reviews
• Not offer incentives to buyers in exchange for positive reviews
• Not post false or misleading information about competitors on the Platform
• Not use the Platform's messaging system for unsolicited advertising or spam
• Comply with all applicable Ghanaian laws including consumer protection, tax, and trade regulations

11. Prohibited Items

The following items are strictly prohibited from listing on StockDropGH:

• Counterfeit, pirated, or unlicensed goods of any kind
• Illegal drugs, narcotics, or controlled substances
• Weapons, firearms, ammunition, or explosive materials
• Stolen goods or goods of unknown or suspicious origin
• Human tissue, organs, or body parts
• Live animals or wildlife products (including ivory, bushmeat, or endangered species)
• Hazardous chemicals, pesticides, or materials not approved for sale in Ghana
• Pornographic or sexually explicit materials
• Items that infringe third-party intellectual property rights
• Any item whose sale is prohibited under Ghanaian law or regulation

12. Intellectual Property

12.1 Your Content

You retain ownership of all content you upload to the Platform (product photos, descriptions, store branding). By uploading content, you grant StockDropGH a non-exclusive, royalty-free licence to display, reproduce, and use that content for the purpose of operating and promoting the Platform.

12.2 StockDropGH IP

The StockDropGH name, logo, platform design, and all associated intellectual property belong exclusively to StockDropGH. You may not reproduce, redistribute, or use our branding without express written consent.

12.3 Third-Party IP

You must not list, sell, or use images and content that infringe the intellectual property rights of third parties. If we receive a valid takedown notice relating to your listing, we will remove the content and notify you.

13. Data & Privacy

By registering as a Vendor, you agree to our Privacy & Cookies Policy, which explains how we collect, use, and protect your personal and business data.

You also agree that buyer contact and delivery information shared with you during a transaction is provided solely for the purpose of fulfilling that order. You must not:

• Use buyer data for unsolicited marketing communications
• Share buyer data with any third party not involved in order fulfilment
• Store buyer data beyond what is necessary to complete the transaction

Misuse of buyer data is a serious breach of this Agreement and may also constitute a violation of Ghanaian data protection laws.

14. Suspension & Termination

14.1 Termination by Vendor

You may close your vendor account at any time by contacting [email protected]. You remain responsible for fulfilling any outstanding orders and paying any outstanding commission at the time of closure.

14.2 Termination or Suspension by StockDropGH

We reserve the right to suspend or permanently terminate your vendor account, with or without notice, for any of the following reasons:

• Breach of any clause in this Agreement
• Listing prohibited or counterfeit goods
• Repeated failure to fulfil orders
• Conducting off-platform transactions to evade commission
• Fraudulent activity or misrepresentation
• Abusive conduct towards buyers or platform staff
• Any activity that damages the reputation of StockDropGH

14.3 Effect of Termination

Upon termination, your store and all listings will be removed from the Platform. Any outstanding Payouts due to you will be processed after the resolution of any pending disputes or claims, minus any amounts owed to StockDropGH.

15. Limitation of Liability

StockDropGH acts as a marketplace intermediary. We are not a party to transactions between Vendors and Buyers and are not liable for:

• The quality, safety, legality, or delivery of products sold by Vendors
• Loss or damage arising from transactions, disputes, or delivery failures
• Errors, interruptions, or downtime in platform services
• Loss of data, profit, or business opportunity arising from use of the Platform

Our total liability to any Vendor in connection with this Agreement shall not exceed the total commission paid by that Vendor to StockDropGH in the three months immediately preceding the claim.

16. Amendments to This Agreement

StockDropGH may update or amend this Vendor Agreement at any time. When material changes are made, we will:

• Notify all registered Vendors by email at least 14 days before the changes take effect
• Post the updated agreement on the Platform with a revised effective date

Continued use of the Platform after the effective date of any amendment constitutes your acceptance of the updated Agreement. If you do not agree to the changes, you must close your vendor account before the effective date.

17. Governing Law & Disputes

This Agreement is governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Ghana.

Before pursuing legal action, both parties agree to attempt in good faith to resolve any dispute through StockDropGH's internal dispute resolution process.
